A legal disclaimer

The products and services offered by KeWang Professional Inc., including but not limited to business registration services, VHT application services, office mailbox hosting, document assistance, and other administrative support services, are provided based on the information and documents supplied by the client. KeWang Professional Inc. does not verify the authenticity, accuracy, or completeness of client-provided information unless specifically stated.

KeWang Professional is not a government agency, and we do not have authority to approve, reject, or expedite any applications submitted to federal, provincial, or municipal departments. Processing times, decisions, and outcomes are entirely determined by the relevant government authorities. KeWang Professional Inc. is not responsible for delays, denials, penalties, or compliance issues resulting from government procedures or changes in regulations.

All services offered are administrative in nature and do not constitute legal, tax, or financial advice unless such services are provided under a separate, formal professional engagement for accounting or tax services. The client remains responsible for ensuring that their business structure, registration choices, licenses, tax compliance, and operational decisions meet their legal and regulatory obligations.

For mailbox hosting services, KeWang Professional provides a mailing address for administrative purposes only. We are not responsible for lost, delayed, misdelivered, or unclaimed mail, and the client must collect mail within the agreed time frame. Illegal, fraudulent, or prohibited use of the address is strictly forbidden.

Final responsibility for accuracy, compliance, and legal obligations rests with the client. By purchasing and using our services, the client agrees that KeWang Professional Inc. shall not be held liable for any direct, indirect, or consequential losses resulting from service use, government decisions, or client-provided information.

Terms & Conditions - the basics

Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner. 

 

T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).     

 

T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.

Services Agreement & Disclaimer

1. Scope of Services


1.1) Monthly Payroll Services

KeWang Professional Inc. will provide the following payroll-related services:

Monthly or biweekly payroll processing based on client requirements

Calculation of employee wages, deductions, and employer contributions

Preparation and submission of CRA payroll remittances (source deductions)

ROE preparation upon request

Annual T4/T4A summary and slips

Payroll reporting and payroll records maintenance

1.2) Monthly Bookkeeping Services

KeWang Professional Inc. will provide the following bookkeeping services:

Monthly data entry of income, expenses, receipts, and bank transactions

Bank and credit card reconciliations

Accounts payable/accounts receivable tracking (if included in plan)

Monthly financial statements for management purposes

Preparation of documents for year-end tax filing

Support and communication regarding bookkeeping inquiries

1.3) Services Not Included (unless separately engaged)

Financial statement review or audit

Corporate tax return (T2) preparation

Notice to Reader (NTR) statements

Budgeting, forecasting, tax planning

Accounting software subscription fees

Government audit support or CRA dispute resolution

Cash flow analysis or CFO services

 

2. Client Responsibilities

The Client agrees to:

Provide accurate, complete, and timely payroll information (hours, salaries, new hires, terminations, bonuses, commissions).

Provide bookkeeping documents on time (receipts, invoices, statements, etc.).

Maintain proper business records and ensure compliance with employment and tax legislation.

Review reports and statements provided by KeWang Professional Inc. and notify of errors within three business days.

Remit payroll or other payments directly when required, unless KeWang Professional Inc. is authorized in writing to remit on the Client’s behalf.

Failure to provide documents on time may result in delays, errors, or additional fees.

 

3. Fees & Payment Terms

Monthly fees for the combined package will be billed on a recurring basis.

Invoices must be paid within 15 days unless otherwise stated.

Late payments may result in service delays or suspension.

Additional work outside the agreed scope will be billed separately at the current hourly rate.

 

4. Liability & Disclaimer

4.1) Payroll Disclaimer
Payroll is processed based on data provided by the Client. KeWang Professional Inc. is not responsible for penalties, interest, or errors caused by incomplete, inaccurate, or late payroll information.
Compliance with employment laws remains the responsibility of the Client.

4.2) Bookkeeping Disclaimer
Bookkeeping is performed from Client-supplied documents. KeWang Professional Inc. does not audit, verify, or certify information and is not responsible for detecting fraud or irregularities.
Monthly statements are for management use only and are not audited financial statements.

 

5. Confidentiality

Both parties agree to maintain confidentiality of all business, financial, and personal data shared during the engagement, in accordance with professional ethical standards and Canadian privacy laws.

6. Term & Termination

The agreement remains active on a monthly rolling basis until cancelled by either party.

Either party may terminate with 30 days written notice.

All outstanding fees must be paid prior to final document release.

KeWang Professional Inc. will not continue payroll or bookkeeping after termination date.

7. Acceptance

By signing below or approving electronically, the Client agrees to the terms of this Combined Monthly Payroll & Bookkeeping Service Agreement with KeWang Professional Inc.
